Public Contract (Offer)

for the provision of access to the "NEXON Vision" service

NEXON Systems Sp. z o.o. (hereinafter "Contractor"), represented by its Management Board, offers an unlimited number of legal entities and individual entrepreneurs (hereinafter "Customer") to enter into this Terms of Service Agreement (hereinafter "Agreement") on the conditions set forth below.

This document is a public offer.

1. GENERAL PROVISIONS

1.1. The acceptance (full and unconditional agreement) of the terms of this Offer is the Customer's payment for the Contractor's services according to the issued Invoice.

1.2. From the moment the Invoice is paid, the Agreement is considered concluded in written form and does not require additional signing of paper copies.

1.3. The place of conclusion of the Agreement is Warsaw, Poland.

2. TERMS AND DEFINITIONS

Service (System) — the "NEXON Vision" Digital Signage software complex, available on the Internet at https://nexon.vision.

Service — providing the Customer with access to the functionality of the Service via the Internet (SaaS model).

Personal Account — a secure section of the Service through which the Customer manages content and devices.

3. SUBJECT OF THE AGREEMENT

3.1. The Contractor undertakes to provide the Customer with access Services to the "NEXON Vision" management portal, and the Customer undertakes to accept and pay for such Services.

3.2. Services are provided remotely. The Contractor does not transfer exclusive property rights to the software to the Customer, but grants the right of use (access) for the paid period.

4. PROCEDURE FOR PROVISION OF SERVICES

4.1. Access to the paid functionality is activated after receipt of 100% prepayment.

4.2. The Customer is prohibited from:

  • Using the Service to broadcast content that violates the legislation of Poland or the country in which the system is used.
  • Committing actions aimed at disrupting the operation of the Service (hacking, DDoS attacks, etc.).
  • Transferring access to their account to third parties.

5. COST AND ACCEPTANCE OF SERVICES

5.1. The cost of Services is determined by the Contractor's Tariffs and is recorded in the Invoice.

5.2. If the Customer does not provide written objections within 5 (five) business days after the end of the paid period, the Services are considered accepted in full.

6. CUSTOMER DATA AND ACCOUNT DELETION

6.1. The Customer remains the owner of all content uploaded to the Service.

6.2. In the event of late payment, access to the Service is blocked.

6.3. In the absence of payment for 90 (ninety) calendar days from the end of the last paid period, the Contractor has the right to irrevocably delete the Customer's account along with all uploaded content and settings without the possibility of recovery.

7. LIABILITY OF THE PARTIES

7.1. The Service is provided on an "as is" basis. The Contractor does not guarantee error-free operation of the software.

7.2. The Customer bears sole responsibility for the content broadcasted.

7.3. The Contractor's aggregate liability for any claim under this Agreement (including compensation for actual damages) is limited to the amount of 1,000 (one thousand) PLN. Lost profits are not subject to compensation.

8. OTHER CONDITIONS

8.1. The Contractor has the right to amend the Offer by publishing a new version on this page. Changes take effect from the moment of publication.

8.2. The Agreement is governed by the current legislation of the Republic of Poland.
